1. Scope and parties
These Product Terms & License Agreement ("Terms") form an agreement between you, the purchaser, license holder, administrator, organization, or other authorized user ("you" or "Customer"), and Maple Web Design ("Maple", "we", "us", or "our") in relation to the MWD AI Assistant product family.
These Terms apply to paid plans, commercial license entitlements, downloads, updates, support, subscriptions, trials where offered, and related account services for MWD AI Assistant.
Separate agreements apply to unrelated Maple Web Design professional services. Nothing on this page automatically changes the terms of a web design, SEO, advertising, hosting, maintenance, consulting, or custom development engagement.
2. Acceptance of these Terms
By purchasing a paid plan, beginning a trial where available, activating a commercial license, downloading a paid package, or using commercial MWD AI Assistant services, you agree to these Terms.
If you are accepting these Terms for a business or organization, you represent that you have authority to bind that organization.
If you do not agree to these Terms, do not purchase or activate a paid license and discontinue use of commercial services associated with the applicable license.
3. Open-source software rights and commercial entitlements
MWD AI Assistant packages contain software distributed under open-source licenses, including GPL licenses where applicable, as well as third-party components governed by their respective licenses.
Nothing in these Terms is intended to remove or restrict rights that an applicable open-source license expressly grants to you.
Maple Web Design names, logos, product branding, trademarks, service marks, and other brand identifiers are not granted for unrestricted commercial use merely because source code is available under an open-source license.
4. Products, plans, and feature eligibility
The MWD AI Assistant product family may include a Free edition and paid editions or plans such as Pro, Business, and Agency. Features available to each plan are those described on the applicable product page, checkout, documentation, and software interface at the time of purchase or renewal.
Higher-tier plans may include additional capabilities such as multiple assistants or locations, integrations, advanced reporting, industry templates, white-label controls, or profile transfer tools.
MWD AI Assistant for WooCommerce is a separate commercial add-on and is not included automatically with a core paid plan unless a checkout or written offer expressly states otherwise.
The WooCommerce add-on requires both an eligible active MWD AI Assistant paid entitlement and a valid separate WooCommerce add-on entitlement.
We may add, improve, replace, rename, or discontinue individual features as the product develops, subject to applicable law and any rights that have been expressly promised for an existing paid term.
5. Purchases, pricing, subscriptions, taxes, and renewals
Prices, billing periods, license quantities, site allowances, renewal conditions, trial conditions, and included features are those displayed at checkout when you place the order.
Checkout, payment processing, subscription administration, commercial license management, invoices, and customer-account functionality may be provided through Freemius.
By completing a transaction through Freemius, you may also be subject to Freemius's applicable terms and privacy policy.
If a purchase is identified at checkout as a recurring subscription, it may renew automatically according to the billing cycle and renewal terms shown at checkout unless cancelled before the applicable renewal date.
Future prices may change. Changes to future purchases or renewals do not retroactively alter an already completed paid term unless required by law or expressly agreed with you.
Taxes, currency conversion, bank fees, payment-provider fees, and other transaction charges may apply according to your location, payment method, and checkout provider.
6. License keys, activations, and site allowances
Paid functionality may require successful activation and continuing validation of an applicable commercial license.
The number of websites that may simultaneously use a paid entitlement is determined by the plan or license quantity shown at checkout or in your customer account.
A commercial site allowance relates to commercial activation, plan-specific functionality, updates, and support. It does not override rights granted to software code under an applicable open-source license.
You are responsible for keeping license keys and account credentials confidential and for removing old site activations when moving a limited-site license to another website.
Development and staging environments may be treated differently by Freemius depending on its current licensing rules and the domain or environment used. A temporary hosting URL or ordinary subdomain should not be assumed to qualify automatically for an additional free activation.
Circumventing commercial activation systems to obtain paid services, updates, or account benefits without the required entitlement is not permitted. This restriction does not limit rights granted by applicable open-source licenses to inspect or modify covered source code.
7. Updates, availability, and compatibility
Paid subscriptions may include access to updates during the applicable active subscription or entitlement period.
Supported WordPress, PHP, WooCommerce, browser, and other platform versions are stated in current product documentation. Requirements may change as WordPress, WooCommerce, PHP, AI providers, third-party APIs, security practices, and platform requirements evolve.
We do not guarantee compatibility with every WordPress theme, page builder, hosting environment, caching configuration, firewall, CDN, browser, WooCommerce extension, custom codebase, or third-party plugin.
Updates should be tested on a staging or development environment and backed up before production deployment.
We may discontinue support for outdated or insecure platform versions when continued support is no longer reasonably maintainable.
8. AI providers, BYOK credentials, and usage costs
MWD AI Assistant is designed to work with AI services selected and configured by the site administrator. Depending on product version and configuration, supported integrations may include OpenAI, Anthropic, Google Gemini, Microsoft Azure OpenAI, OpenRouter, or a compatible custom endpoint.
Unless expressly stated otherwise in a separate offer, AI provider usage is not included in the MWD AI Assistant purchase price. You are responsible for your own provider accounts, API credentials, usage charges, provider limits, provider terms, and provider billing.
Provider credentials configured in the plugin are intended to remain server-side. You are responsible for using appropriately restricted credentials and for rotating or revoking credentials when needed.
9. AI-generated output and business decisions
AI-generated responses may be incomplete, outdated, inaccurate, ambiguous, or inappropriate even when grounding, approved knowledge, safety controls, or retrieval features are enabled.
You are responsible for reviewing your configured instructions, knowledge, prices, policies, hours, locations, approved content, automated actions, and visitor-facing results.
MWD AI Assistant must not be treated as a substitute for professional legal, medical, financial, emergency, safety-critical, or other regulated advice.
You should configure appropriate fallback, human-contact, and escalation paths for information that must be verified by a person.
No feature creates a guarantee of sales, leads, conversion rate, ranking improvement, customer satisfaction, accuracy, availability, diagnosis, quote acceptance, or business outcome.
10. Customer data, privacy, consent, and retention
Depending on your configuration, MWD AI Assistant may process or store conversation messages, enquiry details, contact information, consent choices, business knowledge, analytics, technical metadata, and other information entered by administrators or visitors.
You are responsible for determining which data you collect, the lawful basis for collection and processing, the privacy notice shown to your visitors, consent requirements, retention settings, processor agreements, regional requirements, and responses to access or deletion requests.
Enabling an external AI provider, CRM, email service, marketing service, webhook, anti-abuse service, hosted font, or other integration may send relevant information to that provider.
Privacy and security controls in the plugin are tools and do not by themselves make a website compliant with PIPEDA, GDPR, CCPA/CPRA, provincial privacy laws, sector-specific requirements, or any other regulatory framework.
When an administrator intentionally submits a support request, diagnostic information selected for that request may be provided to Maple Web Design for troubleshooting.
Maple Web Design's website privacy information is available at maplewebdesign.ca/privacy-policy/ .
11. Third-party platforms and services
MWD AI Assistant may interact with third-party services such as AI providers, WordPress, WooCommerce, Freemius, CRM platforms, email or marketing services, Cloudflare Turnstile, Google Fonts, webhook destinations, hosting providers, or other services selected by you.
Third-party services are governed by their own contracts, terms, privacy policies, availability, security practices, pricing, rate limits, and technical requirements.
We are not responsible for outages, service changes, account restrictions, API changes, pricing changes, data-processing changes, policy changes, or discontinuation caused by a third party.
Where technically and commercially reasonable, we may update the software to respond to third-party changes, but compatibility cannot be guaranteed indefinitely.
Freemius terms are available at freemius.com/terms/ and its privacy policy is available at freemius.com/privacy/ .
12. MWD AI Assistant for WooCommerce
MWD AI Assistant for WooCommerce is a separately licensed add-on for eligible paid MWD AI Assistant installations and requires WooCommerce.
Depending on administrator settings, the add-on may provide visitors with product discovery, product information, pricing, stock information, category filtering, cart actions, quantity changes, coupon actions, checkout handoff, and authenticated access to certain customer-order information.
Product prices, stock status, cart calculations, coupons, taxes, checkout, order creation, and commerce rules remain subject to WooCommerce and the merchant's own store configuration.
The add-on does not act as a payment gateway and is not intended to collect payment-card information inside the assistant. Payment is completed through the merchant's normal WooCommerce checkout and configured payment providers.
Products that require variations, selections, subscriptions, customization, complex product options, or specialized extension logic may require the visitor to continue on the native WooCommerce product page or checkout.
Merchant product visibility rules, stock validation, quantity limits, sold-individually rules, extensions, and WooCommerce validation remain authoritative.
Customer order information, where exposed by the feature, is intended only for appropriately authenticated customers and their own orders.
Compatibility with every WooCommerce extension, product type, checkout extension, theme, or custom storefront is not guaranteed.
13. Security, configuration, staging, and backups
You are responsible for maintaining a reasonably secure WordPress installation, current backups, appropriate administrator access, secure API credentials, supported software versions, and suitable hosting.
Before installing a major update or changing important integrations, you should back up the website and test changes on an appropriate staging environment where practical.
No software can guarantee that a website will be immune from security vulnerabilities, outages, configuration errors, malware, hosting failures, third-party conflicts, data loss, or unauthorized access.
You must not store secrets, private credentials, or confidential customer records inside business-knowledge fields that are intended to be sent to AI providers.
14. Support
Support availability and the level of support included with a purchase depend on the applicable product, plan, subscription status, and any separate written agreement.
Unless expressly agreed otherwise, support does not include custom website development, custom integrations, custom feature development, administration of third-party provider accounts, management of your hosting environment, recovery of compromised websites, migration of unrelated systems, or guaranteed resolution of third-party conflicts.
We may ask for relevant diagnostics, WordPress/PHP/WooCommerce versions, plugin configuration information, screenshots, logs, or reproducible steps before investigating an issue.
No guaranteed response time, resolution time, uptime commitment, or service-level agreement applies unless it is expressly provided in writing.
15. Acceptable use
You may not use MWD AI Assistant commercial services to:
- violate applicable law or the rights of another person;
- facilitate fraud, abuse, malware, phishing, or unauthorized access;
- misrepresent AI output as verified professional advice when it is not;
- collect personal information without required notices or permissions;
- attempt unauthorized access to Maple Web Design or Freemius systems;
- use stolen, leaked, or unauthorized commercial license keys;
- obtain paid account services, updates, or entitlements through fraudulent or unauthorized means; or
- use the service in a manner that materially interferes with platform security or availability.
This Acceptable Use section does not restrict rights expressly granted to software code by applicable open-source licenses.
16. Refunds, cancellations, and chargebacks
Cancellation of a recurring subscription stops future renewals in accordance with the cancellation terms shown through the applicable checkout or customer account. Cancellation does not automatically mean that a previously completed payment is refundable.
Where a specific refund policy or refund eligibility period is displayed at checkout or by Freemius for your transaction, that displayed policy applies to the purchase.
Unless a specific refund right is displayed at checkout, separately agreed in writing, or required by applicable law, these Terms do not create an unconditional money-back guarantee.
If you believe a transaction was incorrect, contact us before initiating a chargeback so that the issue can be reviewed. Fraudulent or abusive payment disputes may result in suspension of related commercial entitlements where permitted by law.
17. Warranty disclaimer
To the fullest extent permitted by applicable law, MWD AI Assistant, related add-ons, documentation, updates, support materials, integrations, and associated services are provided on an "as is" and "as available" basis.
We do not warrant that the software will be uninterrupted, error-free, vulnerability-free, compatible with every environment, or suitable for every particular business purpose.
We do not warrant the accuracy, completeness, legality, reliability, or commercial usefulness of AI-generated output, third-party data, provider responses, product recommendations, estimated costs, analytics, lead quality, or automated decisions.
Nothing in these Terms excludes warranties or statutory rights that cannot lawfully be excluded.
18. Limitation of liability
To the fullest extent permitted by law, Maple Web Design will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of revenue, profit, business, reputation, goodwill, data, opportunities, customers, advertising spend, AI-provider charges, or anticipated savings arising from use of the products.
To the fullest extent permitted by law, Maple Web Design's aggregate liability arising from or relating to the applicable commercial product, subscription, or service will not exceed the amount actually paid for that applicable product or subscription during the twelve months immediately preceding the event giving rise to the claim.
These limitations do not apply where liability cannot legally be excluded or limited.
Indemnity
To the extent permitted by applicable law, you agree to defend, indemnify, and hold Maple Web Design harmless from third-party claims, damages, losses, penalties, and reasonable costs arising from your unlawful use of the product, content or data you provide through the product, violation of third-party rights, or material breach of these Terms.
This obligation does not apply to the extent a claim is caused by Maple Web Design's own unlawful conduct.
19. Suspension, expiry, and termination
Commercial license entitlements may expire, become inactive, or be suspended when a subscription ends, payment fails, a transaction is reversed, a license is cancelled, activation limits are exceeded, or these Terms are materially violated.
Expiry or cancellation of a commercial entitlement may affect paid functionality, commercial updates, account services, and support.
Deactivating or disconnecting a commercial license does not necessarily delete website content, plugin settings, conversations, leads, store data, or other local WordPress data.
Uninstall behaviour and optional data deletion are controlled by the applicable plugin version and administrator settings. You are responsible for backups before deleting software or data.
20. Governing law and disputes
To the extent permitted by applicable law, these Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict-of-law principles.
Before starting formal proceedings, the parties should make a reasonable attempt to resolve the issue directly through written communication.
Nothing in this section limits mandatory consumer rights, statutory protections, or jurisdictional rights that cannot lawfully be waived.
21. General terms
Changes to these Terms
We may update these Terms to reflect product changes, legal requirements, platform changes, security practices, or commercial policies. Material changes will apply prospectively to the extent required by applicable law. The effective date shown at the top identifies the current version.
Entire agreement
These Terms, together with the applicable checkout terms, order details, incorporated refund terms, applicable open-source licenses, and any separate written agreement expressly incorporated into them, form the agreement governing the relevant MWD AI Assistant commercial purchase.
Order of precedence
If a specific signed agreement or checkout term expressly conflicts with these Terms, the more specific term controls for the subject of that conflict. Applicable open-source licenses continue to control rights granted under those licenses.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law.
No waiver
Failure to enforce a provision immediately does not waive the right to enforce it later.
Assignment
You may not transfer a commercial account, subscription, or license entitlement in violation of its applicable account or checkout rules. Maple Web Design may assign these Terms as part of a legitimate transfer of the relevant product or business, subject to applicable law.
Electronic communications
You agree that account, billing, licensing, security, renewal, support, and product communications may be provided electronically where permitted by law.
